these terms govern the relationship between somos and the teachers who use our webapp 🤝

- welcome to somos! we're a platform designed to empower language teachers and create a diverse community of teachers, learners, and activists.
- by using our webapp, sites, or any of our services, you're agreeing to these terms and our related policies.
- this agreement is between you, the user (whether you're a teacher, student, or just browsing), and us, somos.
- if you’re a teacher or a student and wish to set up an account with us, you must provide us with certain mandatory information about you.
- we’ll process personal data in accordance with the terms of our privacy policy.
- these terms affect your legal rights and obligations so please read them carefully!

- our webapp offers a range of features designed to make language teaching and learning seamless and effective.
- teachers can create and sell products like 1:1 classes, speaking clubs, and courses. students can browse, purchase, and participate in these offerings.

3. applicable policies
- these platform terms expressly incorporate the following policies:
- 1) our privacy policy: this policy outlines the terms under which we process any personal data we collect from you, or that you provide to us. by using our site, you consent to such processing and you warrant that all data provided by you is accurate.
- 2) our cookies policy: this policy provides information about the cookies on our site.
- 3) our community guidelines: these guidelines establish the terms and conditions for teachers, partners, and students who sign up to our webapps, participate in our community, or engage with any teacher community.
- 4) our terms of use: these terms govern the relationship between somos and users who use our webapp, site and other services.
- by using our site, you agree to abide by all these policies.

4. community integrity
- at somos, we pride ourselves on fostering a community built on trust, respect, and mutual support.
- we expect all teachers, students, and partners who use our webapp and participate in our community to uphold these values.
- 1) honesty & transparency: all profiles, reviews, and credentials should be accurate and honest. misrepresentation can lead to account suspension or termination.
- 2) respectful interaction: we expect all community members to treat each other with respect and dignity, both on and off the platform.
- 3) inclusivity: discrimination based on race, gender, sexual orientation, religion, nationality, disability, or any other identifying characteristic will not be tolerated.
- 4) safety: harassment, threats, or any form of intimidation are strictly prohibited and will result in immediate action, which may include account termination.
- 5) intellectual property: respect the intellectual property rights of others. unauthorized copying, distribution, or use of copyrighted material is not allowed.
- 6) compliance: all users are expected to comply with local laws and regulations, including but not limited to, those governing online conduct and acceptable content.
- by using our webapp and participating in our community, you agree to abide by these principles.
- failure to do so may result in actions taken against your account, up to and including termination.

5. platform limitations
- while we provide the platform, we don't teach the classes ourselves.
- we're not responsible for the quality of individual classes or the accuracy of teacher profiles.
- all payments are processed via stripe, and we don't hold any funds.
- we also use persona's id software for identity verification but don't store personal id information ourselves.
- as a teacher:
- it's up to you to comply with local laws, regulations, and tax obligations.
- you are responsible for all activities that occur under your somos account.
- you set (and are responsible for) your own booking, cancellation and refund policies.

6. account management & powers
- we reserve the right to moderate, suspend, or terminate accounts that violate our terms of use or community guidelines.
- this includes the removal of content that doesn't align with our policies.

7. termination policy
- we may terminate or suspend your access to our webapp, sites or our services for any reason, including if:
- (a) you have breached any provision of our terms;
- (b) we cannot verify or authenticate any information you provide to us;
- (c) we receive a complaint from another user about you; and/or
- (d) we have good reason to believe that a teacher has provided/ intends to provide lessons booked outside of the platform.
- we take complaints seriously and will do our best to investigate each matter and try to resolve it.
- if your account is terminated, all your data will be deleted in accordance with our privacy policy. you'll also lose access to any purchased or created content on the platform.

8. payment procedures
- all payments are processed through stripe, and your financial information is stored securely on their platform.
- by using our payment features, you also agree to comply with stripe's terms and conditions.

9. data protection
- although we don't store sensitive financial or id information ourselves, we take data protection seriously.

10. content ownership
- all content on our webapp, including text, images, and code, is owned by somos unless otherwise stated.
- we may also feature links and integrations to third-party services, for which we are not responsible.

11. liability & disclaimer
- we do not exclude or limit in any way our liability to you where it would be unlawful to do so. this includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
- we will not be liable to you for any loss (including loss of profits, business or data) or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising in connection with the use of the website, webapp or any of our other services.
- we recommend all teacher and student interactions take place on the somos platform and are explicitly not liable for any interactions, transactions, or disputes between teachers and students that occur outside of the somos platform.

12. jurisdiction & dispute resolution
- these terms, their subject matter and their formation (and any non-contractual disputes or claims), are governed by english law.
- you and we both agree that the courts of england and wales will have exclusive jurisdiction although we retain the right to bring proceedings against you for breach of these terms in your country of residence or any other relevant country.

13. availability
- there may be occasions when access to our webapp, sites or other services may be interrupted (including for scheduled maintenance, upgrades or emergency repairs or due to failure of telecommunications links and/or equipment).
- we reserve the right to remove any content or features from the webapp, sites or other services for any reason without prior notice and/or to suspend or cease providing any services relating to the webapp, sites or other services without notice, and shall have no liability or responsibility to you in such circumstances.

14. general terms
- these terms and the related policies (as amended from time to time) constitute the entire agreement between you and us concerning your use of the webapp and related services.
- if any provision of these terms is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision shall be construed, as nearly as possible, to reflect the intentions of the parties and all other provisions shall remain in full force.
- our failure to exercise or enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
- you consent to receive all communications including notices and other information from us electronically.
